1. Acceptance of Terms

By purchasing, downloading, installing, or using Hit Rec Notes ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. License Grant

Subject to your compliance with these Terms, Hit Rec Notes grants you a perpetual, non-exclusive, non-transferable license to use the Software under the following conditions:

• Personal Use Only: The license is for your personal, non-commercial use.
• Device Limit: You may install and use the Software on up to three (3) devices that you own or control.
• No Expiration: Your license does not expire. Once purchased, you may use the Software indefinitely.

This license is granted in exchange for your one-time purchase of $39 USD (or equivalent).

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law.
• Redistribute, resell, rent, lease, or sublicense the Software to any third party.
• Remove, alter, or obscure any copyright notices, trademarks, or other proprietary notices contained in the Software.
• Use the Software for any unlawful purpose or in violation of any applicable laws.
• Transfer your license to another person or entity.

4. Third-Party Services

OpenAI Whisper API

Hit Rec Notes uses the OpenAI Whisper API to convert your voice recordings to text. By using the Software, you acknowledge and agree that:

• Your API Key: You are responsible for providing and managing your own OpenAI API key. The Software does not include API access.
• Direct Transmission: Your audio recordings are sent directly to OpenAI's servers for processing. Hit Rec Notes does not store or process your audio on our servers.
• OpenAI's Terms: You must comply with OpenAI's Terms of Use and Usage Policies. You are solely responsible for your use of the OpenAI API.
• API Costs: You are responsible for any costs associated with your OpenAI API usage. These costs are separate from your Hit Rec Notes purchase.
• Data Handling: Please review OpenAI's privacy policy to understand how your audio data is handled by their service.

5. Intellectual Property

Hit Rec Notes and all associated code, design, graphics, and documentation are the proprietary property of Hit Rec Notes and are protected by copyright and other intellectual property laws.

• The Software is not open source.
• All rights not expressly granted in these Terms are reserved by Hit Rec Notes.
• You do not acquire any ownership rights by purchasing or using the Software.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Hit Rec Notes disclaims all warranties, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of results

We do not warrant that:

• The Software will meet your specific requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Software will be accurate or reliable

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Hit Rec Notes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Hit Rec Notes shall not be liable for any damages arising from your use of third-party services (including OpenAI).
• In no event shall Hit Rec Notes' total liability exceed the amount you paid for the Software ($39 USD).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

8. Refund Policy

We offer a 30-day money-back guarantee from the date of purchase.

• If you are not satisfied with the Software for any reason, you may request a full refund within 30 days.
• To request a refund, contact us at support@hitrec.app with your purchase details.
• Refunds are typically processed within 5-10 business days.

After 30 days, all sales are final.

9. Termination

By Hit Rec Notes

We may terminate or suspend your license immediately, without prior notice, if you:

• Violate any provision of these Terms
• Engage in any activity that harms Hit Rec Notes or other users
• Use the Software in an unauthorized or unlawful manner

Upon termination, you must cease all use of the Software and delete all copies from your devices.

By You

You may stop using the Software at any time. No refund will be provided for voluntary termination outside the 30-day refund window.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer resides, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Software shall be resolved in the courts of that jurisdiction.

11. Changes to Terms

We may update these Terms from time to time. When we do:

• The updated Terms will be posted on our website at hitrec.app
• The "Last Updated" date at the top of this document will be revised
• For significant changes, we may notify users via email or in-app notification

Your continued use of the Software after changes are posted constitutes your acceptance of the updated Terms.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Hit Rec Notes regarding the Software.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms or your license without our prior written consent.
